1. Acceptance of Terms
By accessing or using BondSign's electronic signature services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using our Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
BondSign provides electronic signature solutions that enable users to send, sign, and manage documents electronically. Our Service includes document preparation, signature collection, document storage, audit trails, and related features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. User Accounts and Registration
To use certain features of the Service, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.
4. Electronic Signatures Legal Compliance
BondSign's electronic signatures are designed to comply with applicable electronic signature laws, including:
- The U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act)
- The Uniform Electronic Transactions Act (UETA)
- The European Union's eIDAS Regulation
- Other applicable international electronic signature laws
However, certain documents may not be legally valid when signed electronically under applicable law. You are responsible for determining whether electronic signatures are appropriate for your specific use case. BondSign does not provide legal advice, and we recommend consulting with legal counsel for questions about the enforceability of electronic signatures.
5. Subscription and Billing
Certain features of the Service require a paid subscription. By subscribing, you agree to:
- Pay all applicable fees as described at the time of purchase
- Automatic renewal of your subscription unless you cancel before the renewal date at https://bondsign.net/unsubscribe
- Price changes with 30 days' notice before the next billing cycle
- Non-refundable fees except as required by law or as stated in our refund policy
You may cancel your subscription at any time through your account settings or by using the unsubscribe functionality at https://bondsign.net/unsubscribe. Cancellation will be effective at the end of your current billing period.
6. Intellectual Property Rights
The Service and its original content, features, and functionality are owned by BondSign and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any documents you upload to the Service. By uploading documents, you grant BondSign a limited license to process, store, and display such documents solely to provide the Service.
7. Prohibited Activities
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Upload documents containing malware, viruses, or harmful code
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Use the Service to send spam or unsolicited communications
- Impersonate any person or entity or misrepresent your affiliation
- Forge signatures or otherwise falsify document authenticity
- Use the Service to harass, abuse, or harm another person
- Circumvent any technical measures we use to provide the Service
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BONDSIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless BondSign and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your documents caused damage to a third party.
10. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may download your documents for a period of 30 days following termination, after which they may be permanently deleted. All provisions of these Terms which by their nature should survive termination shall survive.
11. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Nashville, Tennessee. You agree to waive any right to a jury trial or to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
